Rezolva Connect Client Platform Terms
The terms on which a client business and its authorised users may use the Rezolva Connect portal. A schedule to the Client Service Agreement.

1. Status of these terms
These Platform Terms are a schedule to, and form part of, the Client Service Agreement between Rezolva Limited and the Client. They govern use of the Rezolva Connect portal. The Rezolva marketing website has separate website terms; those website terms do not govern Rezolva Connect.
Where these Platform Terms conflict with the Client Service Agreement on a commercial matter, the Client Service Agreement prevails.
2. Authorised users
- The Client may allow named individuals within its business to use Rezolva Connect as authorised users.
- The Client is responsible for the acts and omissions of its authorised users as if they were its own.
- The Client must tell Rezolva promptly when a user should no longer have access, and must not share accounts between individuals.
- Rezolva may suspend an individual account where there is a security concern.
3. Credentials and security
- Credentials are personal and must be kept confidential.
- The Client must notify Rezolva without undue delay if it suspects an account has been compromised.
- The Client must not attempt to access data belonging to another organisation, probe or test the security of the platform, or circumvent access controls.
4. Acceptable use
The Client must not use Rezolva Connect unlawfully, to harass any person, to upload malicious code, to scrape or bulk-extract data other than through provided export features, or in a way that damages or degrades the platform.
5. Uploads and instructions
- The Client must only upload material it is entitled to supply, which is relevant to the case and accurate so far as it is aware.
- The Client must not upload health, medical or other special category information, or information about consumers, unless it is genuinely necessary and it has told Rezolva why.
- Instructions, approvals, confirmations and acceptances submitted through Rezolva Connect by an authorised user are given on behalf of the Client and are binding on it.
- Rezolva may act on an instruction that appears to come from an authorised user unless it has been told the account is compromised.
6. Approvals and manual decisions
Certain steps require an express decision. These include accepting a settlement, issuing a Final Demand, escalating to legal proceedings, writing off a balance and incurring material external spend. Rezolva does not take these steps by automated means and will seek the Client's authority where the agreement requires it.
7. Audit trail
Rezolva records portal actions, instructions and approvals, together with the user, timestamp and, where proportionate, device or network information. In the absence of manifest error, those records are evidence of what was done and when.
8. Availability, maintenance and suspension
Rezolva aims to keep Rezolva Connect available but does not guarantee uninterrupted availability. Planned maintenance will be notified where reasonably practicable. Rezolva may suspend access, in whole or in part, where there is a security risk, suspected misuse, a legal requirement, or non-payment under the Client Service Agreement. Suspension will be no wider or longer than reasonably necessary.
9. Third-party services
Rezolva Connect relies on third-party hosting, database, authentication, storage and email services. Rezolva remains responsible to the Client for the service, but is not responsible for the Client's own connectivity, devices or email systems.
10. Assisted case summaries
Rezolva Connect can produce an assisted, AI-generated draft summary of a case. Summaries are drafts, may contain errors, are reviewed by a person before they are relied on, are not legal advice and are not a substitute for the underlying records. Rezolva does not make solely automated decisions about a debt.
11. Intellectual property
Rezolva owns the platform, its software, templates, documents it generates and its branding. The Client is granted a non-exclusive, non-transferable right to use Rezolva Connect for the term of the Client Service Agreement. The Client keeps ownership of the material it uploads and grants Rezolva a licence to use it for the purpose of providing the services and keeping records.
12. Export, exit and records
- The Client may export case and reporting data using the export features provided while its account is active.
- On termination, the Client should export anything it needs. Rezolva will retain records in accordance with its published retention schedule and any legal hold.
- Provisions relating to confidentiality, audit records, retention and intellectual property survive termination.
