Rezolva Connect Broker Terms

The terms on which an introducing brokerage and its members may access Rezolva Connect and information about their clients' cases.

1. Who these terms bind

These terms apply between Rezolva Limited and the brokerage organisation registered in Rezolva Connect, and to each individual member of that brokerage who is given an account. Each member accepts these terms on first sign-in, and the acceptance is recorded with the version they were shown.

2. Basis of access

  • A brokerage may only see information about a client where that client has nominated the brokerage in Rezolva Connect and the allocation is current.
  • Access never arises merely because a name, email address or contact record matches. Nomination is an explicit act by the client or by a Rezolva administrator acting on the client's instruction, and it is recorded in the allocation history.
  • A client may vary the visibility level, revoke access or reallocate to a different brokerage at any time. Access ends when the allocation ends, subject to Rezolva's record-retention obligations.

3. What a broker may see

Visibility is set by the client at one of three levels: summary, standard or full. Supporting documents are not visible unless the level permits it. Internal Rezolva notes, operator performance information and any information recorded as vulnerability or sensitive circumstance information are excluded by default and are not made visible to a brokerage without an express decision.

4. Permitted use

  • Information may be used only to support the client whose case it is, including monitoring progress and assisting with insurance or credit matters for that client.
  • Information must not be used for the brokerage's own marketing, for another client, for credit scoring of third parties, or for any purpose the client has not agreed to.
  • Information must not be disclosed onward to any person other than the client and the brokerage's own personnel who need it, unless the client agrees or the law requires it.

5. Confidentiality

All case information is confidential. The brokerage must keep it confidential, must limit access to members who need it, and must continue to do so after access ends. Documents downloaded from Rezolva Connect may be retained only for as long as the brokerage needs them for the client, and must be handled securely.

6. Security and accounts

  • Accounts are personal to a named individual and must not be shared.
  • The brokerage must tell Rezolva promptly when a member leaves or should no longer have access, and must maintain appropriate technical and organisational security measures.
  • Rezolva may suspend a member or an entire brokerage where there is a security concern, suspected misuse or a breach of these terms.

7. Incident reporting

The brokerage must notify Rezolva without undue delay, and in any event within 24 hours of becoming aware, of any actual or suspected loss, unauthorised access to or unauthorised disclosure of information obtained through Rezolva Connect, and must co-operate with Rezolva and the client in investigating and remedying it.

8. Data protection

Rezolva and the brokerage each act as an independent controller in respect of personal information shared through Rezolva Connect. Each party is responsible for its own compliance, including transparency to the individuals concerned, security, and handling rights requests it receives. The controller-to-controller data sharing arrangement between Rezolva and the brokerage sets out the detail.

9. Placement on behalf of a client

Where a brokerage is permitted to place a debt for a client, it does so as the client's agent, and confirms it is authorised to do so. Every placement is subject to the commercial-only confirmations required at placement. The client remains the contracting party under the Client Service Agreement and remains the commercial authority on every case.

10. Audit, intellectual property and general

  • Rezolva logs broker access and actions and may audit use of the platform.
  • Rezolva owns the platform and its content; nothing here transfers intellectual property.
  • Rezolva may vary these terms; material changes require renewed acceptance at next sign-in.
  • These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
